PAA Announces Public Offering of Common Units |
(Houston – December 17, 2003) Plains All American Pipeline, L.P. (NYSE: PAA) announced today that it plans to sell 2,000,000 common units pursuant to an effective shelf registration statement on Form S-3 previously filed with the Securities and Exchange Commission. The underwriters have the option to purchase up to 300,000 additional units to cover over-allotments, if any. The Partnership intends to use the net proceeds from the offering to repay indebtedness under its revolving credit facilities and for general partnership purposes, which may include the funding of pending or future acquisitions.
The Partnership filed a Report on Form 8-K today describing a material pending acquisition. The Form 8-K includes important historical and forward-looking information about the acquisition and financial performance of the business to be acquired. UBS Securities LLC will act as book-running lead manager of the offering. In addition, A.G. Edwards & Sons, Inc., Goldman, Sachs & Co. and Wachovia Capital Markets, LLC have been named as co-managing underwriters.
